Plain-language summary.
You submit a brief, we deliver a shortlist of vetted vendors, you decide who to hire. We charge a flat platform fee per accepted shortlist. If we miss the published SLA, you get a full refund. We are governed by German law with jurisdiction in Berlin. Liability is capped at fees paid in the preceding twelve months.
1. Scope
These Terms govern the use of the XpertDirect platform by buyer organisations. Vendor terms are governed by a separate vendor agreement. By submitting a brief you accept these Terms on behalf of your organisation.
2. The service
XpertDirect operates a direct hiring platform that matches in-segment buyer briefs with vetted vendor experts. We provide the shortlist; the buyer contracts directly with the chosen vendor. We are not a party to the buyer–vendor contract.
3. Fees
Platform fees are quoted at the time of brief acceptance and are payable within 30 days of placement. Fees are inclusive of all costs related to shortlisting and exclude applicable VAT.
4. SLA and refunds
The Service Level Agreement is published at /legal/sla and forms part of these Terms. Refunds are processed automatically per the SLA.
5. Buyer obligations
The buyer agrees to provide accurate brief information, to respond to shortlist outreach within three business days, and to inform XpertDirect within five business days of any placement decision.
6. Intellectual property
All XpertDirect platform content, including vendor profiles, shortlist reports, and methodology documents, remains the property of XpertDirect. The buyer is granted a non-exclusive licence to use shortlist outputs for the purpose of the relevant hiring decision.
7. Liability
XpertDirect's aggregate liability under these Terms is capped at the total platform fees paid by the buyer in the twelve months preceding the claim. XpertDirect excludes liability for indirect or consequential loss to the maximum extent permitted by law.
8. Term and termination
These Terms apply for the duration of any active brief. Either party may terminate the relationship on 30 days' written notice. Termination does not affect accrued rights or obligations.
9. Governing law
These Terms are governed by the laws of the Federal Republic of Germany. Exclusive jurisdiction lies with the competent courts of Berlin.
